Firm Terms of Service

1. Introduction

These Firm Terms of Service ("Firm Terms") govern the claiming and management of firm profiles on LawStreet, including use of the firm portal, free features and paid subscription features.

These Firm Terms form a legally binding agreement between Law Street Ltd and the Organisation on whose behalf a firm profile is claimed or managed. The individual submitting a claim, creating an account, adding Firm Content or purchasing a subscription confirms that they are authorised to act on behalf of, and bind, the Organisation.

LawStreet is operated by Law Street Ltd, a company registered in England and Wales under company number 16123633. Our registered office is 85 Great Portland Street, First Floor, London, W1W 7LT.

These Firm Terms apply in addition to our general Terms and Conditions and our Privacy Policy. If there is any conflict between these Firm Terms and our general website Terms and Conditions in relation to the firm portal, firm profiles, profile claims, Firm Content, subscriptions or billing, these Firm Terms will take priority.

LawStreet's firm portal and subscription services are provided to business customers only. By submitting a claim, managing a firm profile, adding Firm Content or purchasing a Paid Subscription, you confirm that the Organisation is acting wholly or mainly for purposes relating to its trade, business or profession, and not as a consumer.

If you do not agree to these Firm Terms, you must not submit a claim, manage a firm profile, add Firm Content or purchase a Paid Subscription.

2. Definitions

In these Firm Terms:

Account means the LawStreet account associated with an Organisation's claimed profile, including users, billing details, subscription status and dashboard access.

Firm Content means any content, information, data or materials added, uploaded, submitted, edited, approved or published by or on behalf of the Organisation, including logos, photographs, team member information, biographies, testimonials, service descriptions, pricing information, accreditations, calls to action and other profile content.

Free Tier means any no-cost access level, subscription or set of features made available by LawStreet from time to time.

Organisation means the SRA-regulated solicitor firm, law firm or legal services business whose profile is claimed or managed on LawStreet.

Paid Subscription means any paid LawStreet subscription plan, including Pro and any other paid tier we may offer from time to time.

SRA means the Solicitors Regulation Authority.

Third-Party Data means data, content or information obtained from third-party sources and displayed, referenced or used on LawStreet. This may include data from regulators, public bodies, government agencies, ombudsman schemes, legal aid sources, legal directories, review platforms, accreditation bodies and other external sources, including data sourced from the SRA or the SRA register.

User means an individual authorised by the Organisation to access, manage or use the Account.

you means the Organisation and, where the context requires, any User acting on behalf of the Organisation.

3. Eligibility and claiming a profile

To claim or manage a firm profile on LawStreet, you must:

You warrant that you have authority to act on behalf of, and bind, the Organisation. If your authority changes, or if you leave the Organisation, you must ensure that the Account is updated or notify us promptly.

Each Organisation may be claimed by one Account only, unless we agree otherwise. Claims are reviewed by our team, and we may contact you to verify your identity, role, authority or connection with the Organisation.

We may approve, reject, suspend, transfer or revoke a claim where we reasonably consider it appropriate, including where:

If we reject a claim, we will usually provide a brief reason, unless we reasonably consider it inappropriate to do so.

You are responsible for maintaining the security of Account credentials and for all activity carried out through the Account. You must ensure that only authorised Users are given access to the Account and that access is removed when a User no longer requires it.

4. Third-Party Data

Firm profiles on LawStreet may include Third-Party Data from external sources, such as regulators, public bodies, government agencies, ombudsman schemes, legal aid sources, legal directories, review platforms, accreditation bodies and other third-party datasets or services.

Third-Party Data is obtained from external sources and may be synchronised, imported, linked, referenced, summarised, transformed or displayed by LawStreet from time to time.

Third-Party Data cannot usually be edited through LawStreet. If Third-Party Data displayed on your profile is inaccurate, incomplete or out of date, you should usually contact the relevant third-party source directly to request a correction. Where the relevant source updates its data, those changes may appear on LawStreet after the relevant data has been updated, imported or synchronised.

We aim to use Third-Party Data responsibly, but we do not guarantee that Third-Party Data will always be complete, current, accurate, available, error-free or suitable for any particular purpose. Third-Party Data may lag behind changes made by the original source or changes affecting the Organisation.

We may remove, suppress, annotate, adjust, stop using or change the display of Third-Party Data where we reasonably believe it is inaccurate, outdated, disputed, unlawful, misleading, technically corrupted, unavailable, no longer suitable for use, or likely to expose LawStreet to legal, regulatory, operational or reputational risk.

The inclusion of Third-Party Data on LawStreet does not mean that LawStreet endorses, verifies or guarantees that data. LawStreet does not endorse any Organisation and does not guarantee the regulatory status, suitability, competence, quality, availability or conduct of any Organisation listed on LawStreet.

5. Regulatory status and profile visibility

LawStreet may use Third-Party Data, including data from the SRA or other regulatory sources, to determine how an Organisation's profile is displayed, labelled, indexed, ranked or made available on LawStreet.

Where Third-Party Data indicates that an Organisation's regulatory status, authorisation, practice status or public record has changed, we may take action in relation to the Organisation's profile. This may include displaying notices or warnings, changing how the profile appears in search results, excluding the profile from default search results, excluding the profile from public APIs, restricting profile features, hiding the profile from search engines, taking the profile offline, or displaying a page not found message.

These actions may be applied automatically or manually, and may be changed or reversed if the relevant Third-Party Data changes.

A change in an Organisation's regulatory status, authorisation, practice status, Third-Party Data, profile visibility, search visibility or public availability does not automatically cancel the Account or any Paid Subscription.

Unless we expressly agree otherwise, the Organisation remains responsible for cancelling any Paid Subscription if it no longer wishes to use the service. Fees already paid are not refundable merely because Third-Party Data changes, the Organisation's regulatory status changes, the Organisation ceases to be authorised or active, the profile is restricted, the profile is removed from search results, or the profile is taken offline.

You are responsible for monitoring the Organisation's regulatory status and public records, and for contacting the relevant third-party source if you believe any Third-Party Data is inaccurate, incomplete or out of date.

6. Firm Content

You may add Firm Content to your firm profile, subject to these Firm Terms and the features available under your Free Tier or Paid Subscription.

You are responsible for all Firm Content added, uploaded, submitted, edited, approved, published or maintained by or on behalf of the Organisation.

You must ensure that all Firm Content is accurate, current, lawful, not misleading, professionally appropriate, supported by appropriate evidence where required, and compliant with all legal, regulatory and professional obligations that apply to the Organisation. This includes obligations relating to publicity, marketing, pricing, testimonials, reviews, accreditations, memberships, qualifications, service descriptions, client confidentiality, personal data and intellectual property rights.

You must have all necessary rights, permissions, licences, consents and lawful bases to use, upload, publish and maintain Firm Content on LawStreet.

You must not add, upload, submit, edit, approve, publish or maintain Firm Content that:

We do not routinely verify Firm Content. Publication of Firm Content on LawStreet does not mean that we endorse, approve, verify or accept responsibility for it.

7. Ownership and licence

You retain ownership of Firm Content you upload or submit to LawStreet. Nothing in these Firm Terms transfers ownership of your Firm Content to us.

By adding, uploading, submitting, editing, approving or publishing Firm Content, you grant LawStreet a non-exclusive, royalty-free, worldwide licence to host, store, copy, display, reproduce, distribute, resize, format, adapt for technical display purposes and otherwise use that Firm Content for the purpose of operating, displaying, maintaining, promoting and improving LawStreet and the Organisation's profile.

This licence includes use of Firm Content in search results, profile previews, public profile pages, emails, internal systems and materials that promote or link to the Organisation's profile or the LawStreet service.

We will not use your logo or firm name in standalone marketing that suggests the Organisation endorses LawStreet without your consent, unless the use is limited to identifying the Organisation as a listed or claimed profile on LawStreet.

The licence continues for as long as the relevant Firm Content remains on your profile or in our systems. If you remove Firm Content, or if your profile or Account is deactivated, we will stop displaying that Firm Content publicly within a reasonable period, subject to caching, backups, legal obligations, dispute resolution, enforcement and legitimate record-keeping requirements.

8. Our right to moderate or remove Firm Content

We may review, moderate, hide, remove, edit the display of, or refuse to publish Firm Content where we reasonably believe that it:

Where reasonably practicable, we will notify you before or promptly after taking action, but we are not obliged to do so where urgent action is required or where notice would be inappropriate.

Our review, moderation or removal of Firm Content does not make us responsible for that Firm Content. You remain responsible for ensuring that Firm Content is lawful, accurate, not misleading and compliant.

9. Free Tier

All approved claims begin on the Free Tier unless and until the Organisation purchases a Paid Subscription.

The Free Tier provides limited access to firm profile features at no cost. No payment details are required for the Free Tier.

Free Tier features may be changed, suspended, restricted or withdrawn from time to time. We do not guarantee that any Free Tier feature will remain available, unchanged or uninterrupted.

Cancelling a Paid Subscription does not delete the Organisation's profile or remove Third-Party Data from LawStreet. Unless we agree otherwise or remove the profile for another reason, the Account will revert to the Free Tier at the end of the relevant paid billing period.

10. Paid Subscriptions and billing

You may upgrade from the Free Tier to a Paid Subscription from the billing section of your dashboard or through any other method we make available.

Paid Subscriptions are available on the billing cycles and at the prices shown on our pricing page or at checkout. Our current paid tier is Pro, which is available on a monthly or annual billing cycle. Annual subscriptions are paid upfront.

Prices are quoted exclusive of VAT unless stated otherwise. VAT at the applicable UK rate is added at checkout, shown separately on invoices and displayed alongside the VAT-inclusive total where applicable.

A Paid Subscription starts when checkout is completed successfully and our payment provider confirms payment or subscription activation.

Payments are processed by Stripe or another payment provider we appoint. We do not store full card details. Your use of payment services may be subject to the payment provider's own terms and privacy notice.

By taking out a Paid Subscription, you authorise us and our payment provider to charge your payment method at the start of each billing period and otherwise in accordance with these Firm Terms.

Paid Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. Your renewal date is shown in your billing dashboard. To avoid renewal, you must cancel before that renewal date.

Annual subscriptions are billed in advance for the full annual period and are not refundable merely because the Organisation stops using the service during that period.

11. Plan and billing-cycle changes

You may switch from monthly billing to annual billing at any time from the billing section of your dashboard, where that option is available.

When you switch from monthly billing to annual billing, you authorise us and our payment provider to charge your payment method immediately for the annual subscription price, less a credit for the unused portion of your current monthly billing period. Your billing cycle and renewal date will reset to start from the date of the switch.

You cannot switch from annual billing to monthly billing during an annual billing period, unless we expressly make that option available.

If we introduce additional paid tiers or subscription options in the future, the features, prices, billing cycles and change rules for those options will be set out on the relevant pricing page, checkout page or dashboard.

12. Cancellation

You may cancel your Paid Subscription at any time from the billing section of your dashboard.

Cancellation takes effect at the end of the current billing period. You will retain access to your paid features until that date. After cancellation takes effect, the Account will revert to the Free Tier.

Cancelling a Paid Subscription does not delete the Organisation's LawStreet profile and does not remove Third-Party Data from LawStreet.

Your Firm Content is preserved when you move to the Free Tier, unless you delete it, ask us to remove it, or we remove it in accordance with these Firm Terms. Firm Content that is only available to paid subscribers may no longer be displayed publicly after the Account reverts to the Free Tier, but may be retained in your Account should you choose to resubscribe.

We may retain Firm Content and Account information for a reasonable period after cancellation, subject to legal, regulatory, operational, technical, dispute-resolution and record-keeping requirements.

13. Refunds

LawStreet subscriptions are supplied to business customers. Statutory consumer cooling-off rights do not apply.

We do not routinely provide refunds for partial billing periods, unused time, unused features or a decision not to use the service.

If you believe you have been incorrectly charged, or there are exceptional circumstances, you should contact us using the contact details below. We will consider refund requests on a case-by-case basis.

If we have charged you in error, we will correct the error and refund any overpayment.

If we terminate a Paid Subscription for convenience and not because of your breach, we will provide a pro rata refund for any prepaid period after the termination date.

For the avoidance of doubt, a restriction, warning, search exclusion, de-indexing, profile takedown or other change applied because of Third-Party Data, regulatory status, authorisation status or practice status is not a termination for convenience by LawStreet and does not entitle the Organisation to a refund.

14. Price changes

We may change subscription prices from time to time.

If we increase the price of your Paid Subscription, we will give you at least 30 days' notice by email before the increase takes effect.

The increased price will apply from your first renewal date after that 30-day notice period has expired. If your next renewal date falls within the 30-day notice period, your existing price will continue for that renewal and the increased price will apply from the following renewal.

If you do not wish to pay the increased price, you may cancel your Paid Subscription before the increased price takes effect.

15. Payment failure

If a payment fails, our payment provider may automatically retry the charge in line with its retry process.

During the retry period, we may continue to provide access to paid features, but we are not obliged to do so. If payment is not received, we may suspend paid features, cancel the Paid Subscription, or move the Account to the Free Tier.

You are responsible for keeping payment details up to date and ensuring that payments can be collected when due.

We are not responsible for failed payments caused by expired cards, insufficient funds, bank refusal, payment-provider issues or other circumstances outside our reasonable control.

16. No guarantee of enquiries, ranking or outcome

A Paid Subscription gives access to the paid features made available under the relevant subscription plan. It does not guarantee any particular search ranking, profile position, profile views, enquiries, clients, instructions, revenue, conversion rate, return on investment or commercial outcome.

LawStreet may determine how profiles, search results, filters, categories, locations and other parts of the service are displayed, ordered, ranked or presented. We may change those systems from time to time.

Unless expressly stated otherwise, LawStreet does not endorse, recommend, verify or guarantee any Organisation, User, Firm Content, Third-Party Data or other profile information.

17. Acceptable use

When using LawStreet, the firm portal or the Account, you must not:

18. Service availability, changes and third-party services

We aim to provide a reliable service, but we do not guarantee that LawStreet, the firm portal, Free Tier features or Paid Subscription features will be uninterrupted, error-free, secure or available at all times.

We may suspend access temporarily for maintenance, updates, security work, operational reasons, legal reasons, regulatory reasons or circumstances outside our reasonable control.

We may add, remove, modify, rename, redesign or replace features from time to time. We will not materially reduce the core features of a Paid Subscription during a paid billing period without good reason or reasonable notice.

The service may depend on third-party services, including payment processors, hosting providers, email providers, analytics tools, public data sources and other technical suppliers. We are not responsible for third-party services outside our reasonable control, but this does not limit any responsibility we may have under applicable law.

Support is provided by email using the contact details below. We aim to respond within a reasonable time, but we do not guarantee response times unless expressly agreed in writing.

19. Suspension and termination

We may suspend access to the firm portal, hide Firm Content, restrict paid features, suspend a claim or suspend an Account while we investigate a suspected breach, authority dispute, regulatory issue, payment issue, security issue or legal risk.

We may suspend or terminate your access to the firm portal or terminate these Firm Terms if:

Where reasonably practicable, we will give you notice and an opportunity to remedy the issue before terminating your Account. We may act immediately where urgent action is required or where notice would be inappropriate.

If we terminate your Account or Paid Subscription because of your breach, we may cancel your Paid Subscription immediately without refund.

If your Account is terminated, your Firm Content may be removed from public display. We may retain Account information, Firm Content and related records as necessary to comply with legal obligations, resolve disputes, enforce these Firm Terms, maintain business records, protect our rights or operate backups and technical systems.

20. Data protection and confidential information

Our Privacy Policy explains how we handle personal data in connection with LawStreet.

You must ensure that you have a lawful basis and all necessary rights, permissions and consents to upload, publish and maintain any personal data included in Firm Content, including staff profiles, photographs, biographies, contact details and testimonials.

LawStreet is not intended to store or publish confidential client information, legally privileged information or detailed information about identifiable client matters. You must not upload or publish such information unless publication is lawful, professionally appropriate, and supported by all necessary rights, permissions and lawful bases.

If a person featured in Firm Content asks for their personal data to be removed, corrected or updated, you must update the relevant content promptly or notify us if you need assistance.

You must not upload confidential information belonging to another person or organisation unless you have the right to do so.

21. Intellectual property

All intellectual property rights in LawStreet, the firm portal, our software, databases, design, branding, content, documentation and technology belong to us or our licensors.

You may use LawStreet only for the purposes permitted by these Firm Terms. You must not copy, reproduce, modify, distribute, sell, lease, exploit or create derivative works from LawStreet, except as expressly permitted by us or by law.

You retain ownership of Firm Content, subject to the licence granted to us under these Firm Terms.

22. Indemnity

The Organisation will indemnify LawStreet against losses, claims, damages, costs and reasonable legal expenses arising from any third-party claim that Firm Content added, uploaded, submitted, edited, approved, published or maintained by or on behalf of the Organisation:

This indemnity does not apply to the extent the claim arises from our breach of these Firm Terms or our unlawful act.

23. Limitation of liability

Nothing in these Firm Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.

Subject to the paragraph above, Free Tier features are provided without charge and, to the fullest extent permitted by law, we exclude liability arising from the use, suspension, withdrawal, unavailability or performance of Free Tier features.

Subject to the first paragraph of this section, for Paid Subscriptions, our total aggregate liability arising out of or in connection with these Firm Terms and the service shall not exceed the total fees paid by the Organisation to LawStreet in the 12 months before the event giving rise to the claim.

Subject to the first paragraph of this section, we shall not be liable for:

We do not guarantee that LawStreet will be uninterrupted, error-free, secure, free from vulnerabilities, or that it will generate any enquiries, clients, instructions, revenue, search ranking or other commercial outcome.

24. Changes to these Firm Terms

We may update these Firm Terms from time to time.

When we make changes, we will update the "last updated" date at the top of this page. We may also notify you by email or through the firm portal.

If we make a material change that adversely affects your rights or your Paid Subscription, we will give reasonable notice by email where practicable. If you do not agree to the change, you may cancel your Paid Subscription before the change takes effect and stop using the firm portal.

If you continue to use the firm portal after updated Firm Terms take effect, you will be treated as having accepted the updated Firm Terms.

25. Notices and contact details

Notices to LawStreet should be sent using the contact details below.

Notices to the Organisation may be sent to the email address associated with the Account, the billing contact, or any other contact details you provide to us.

You are responsible for keeping Account, billing and contact details accurate and up to date.

26. Assignment

We may transfer our rights and obligations under these Firm Terms as part of a merger, reorganisation, sale of business, transfer of assets, investment transaction or corporate restructuring.

The Organisation may not transfer its rights or obligations under these Firm Terms without our prior written consent.

27. Entire agreement

These Firm Terms, together with the documents referred to in them, form the entire agreement between us in relation to the firm portal, firm profiles, claiming, Free Tier features and Paid Subscriptions.

You acknowledge that you have not relied on any statement, promise or representation not set out in these Firm Terms or the documents referred to in them.

Nothing in this section excludes liability for fraud or fraudulent misrepresentation.

28. Severance

If any provision of these Firm Terms is found to be invalid, unlawful or unenforceable, that provision will be treated as modified to the minimum extent necessary to make it valid, lawful and enforceable. If that is not possible, the relevant provision will be treated as deleted. The remaining provisions will continue in full force and effect.

29. No waiver

If we do not enforce a right under these Firm Terms, or delay in enforcing it, that does not mean we have waived that right. We may still enforce it later.

30. Governing law and jurisdiction

These Firm Terms are governed by the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction over any dispute arising out of or in connection with these Firm Terms, the firm portal, firm profiles, Free Tier features or Paid Subscriptions.
